CoolAgents — Terms of Service

These Terms of Service (“Terms”) are a binding agreement between Okkio LTD, a company incorporated under the laws of the State of Israel (“Company,” “we,” “us,” or “our”), and you (“you” or “User”) for the CoolAgents website, store, account, and related services (the “Service”).

CoolAgents sells digital style packs of still agent avatars (“Packs”; images in them, “Avatars”). Packs are licensed under our separate End User License Agreement (EULA). Avatars are for Personal Use only as defined in the EULA. Buying a Pack does not transfer ownership of the images or IP.

By using the Service or buying a Pack, you agree to these Terms and, for any Pack purchase, the EULA. If you do not agree, do not use the Service.

Former working names (including “AgentAvatar” or “pimpmyagent”) may appear in older materials; they refer to CoolAgents.

1. Eligibility and acceptance

1.1 You must be at least 18 (or the age of majority where you live, if higher) and able to contract.

1.2 If you act for an entity, you confirm you can bind it — but Pack licenses sold under the standard store EULA remain Personal Use only unless we execute a separate commercial license.

1.3 We may update these Terms (Section 11). Continued use after changes take effect means acceptance.

2. The Service

2.1 The Service lets you browse, buy, and access Packs of still Avatars for personal agent-roster styling (for example, Grok Bot / Cursor-style multi-agent UIs).

2.2 We may change or discontinue Packs, pricing, or features. The price for a completed order is the price at checkout.

2.3 Illustrative pricing (checkout controls): US$9.99 / 1 Pack · US$19.99 / 3 · US$49.99 / 10. Taxes and processor fees may apply.

3. Accounts

3.1 You may need an account. Keep credentials confidential and information accurate.

3.2 You are responsible for activity under your account. Tell us promptly about unauthorized use (Section 12).

3.3 We may suspend or terminate accounts that violate these Terms, the EULA, or create risk to us, the Service, or others.

4. Purchases, payment, delivery, refunds

4.1 An order is an offer to buy a Personal Use license to the selected Pack(s) under the EULA. We accept when we confirm and make the Pack available.

4.2 Payment providers process charges; you authorize amounts due, including taxes.

4.3 Delivery is digital when download or in-account access is made available.

4.4 Refunds. Because Packs are digital and delivered immediately, sales are final once delivered or accessed, except where mandatory law requires otherwise. If a Pack is defective, corrupted, or not substantially as described, contact us within 14 days and we will re-deliver or refund at our option.

4.5 Abusive chargebacks may lead to suspension.

5. License pointer (read the EULA)

5.1 Pack use is governed by the CoolAgents EULA. In short: Personal Use only; license ≠ ownership; no copying, reproducing, or distributing Packs/Avatars beyond your own personal agent assignment; no resale or sharing of files.

5.2 If these Terms and the EULA conflict on Pack/Avatar use, the EULA wins.

6. Acceptable use of the Service

You will not:

(a) interfere with or abuse the Service, accounts, or payment systems;
(b) use the Service unlawfully or fraudulently;
(c) circumvent access, download, or license controls;
(d) scrape the store beyond normal browsing;
(e) misrepresent your identity or affiliation.

7. Intellectual property

7.1 The Service, Packs, Avatars, CoolAgents branding, and site content are owned by Okkio LTD and/or its licensors.

7.2 Feedback may be used by us freely.

7.3 IP claims: contact us (Section 12) with enough detail to identify the material.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted Service or compatibility with every third-party agent platform.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, goodwill, or business opportunity;
(b) our total liability arising from these Terms or a Pack purchase will not exceed the amount you paid us for the Pack(s) at issue in the 12 months before the claim.

Nothing limits liability that cannot be limited under applicable law.

10. Termination

10.1 These Terms apply until terminated.

10.2 You may stop using the Service anytime (no automatic refund).

10.3 We may suspend or terminate access for breach of these Terms or the EULA, legal requirement, or Service discontinuation.

10.4 Survival: IP, license restrictions (via EULA), disclaimers, liability limits, and governing law survive.

11. Changes

We may change these Terms or the Service. Material Term changes will be posted with an updated “Last updated” date (and we may also email or notify in-product). Continued use after the effective date is acceptance. Prohibitions on redistribution and our ownership of Packs continue to apply to Packs you already bought.

13. Governing law and venue

Governed by the laws of the State of Israel. Exclusive jurisdiction: courts of Tel Aviv-Yafo, subject to mandatory consumer venue rules that cannot be waived where you live.

14. General

Entire agreement for the Service = these Terms + Privacy Policy + order confirmations + EULA (for Packs). Severability, no waiver, assignment (you may not; we may to affiliate/successor), English controls, non-waivable consumer rights preserved.
