CoolAgents — End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a binding agreement between Okkio LTD, a company incorporated under the laws of the State of Israel (“Company,” “we,” “us,” or “our”), and you (“you” or “Licensee”).

When you buy a CoolAgents style pack, you are buying a license to use digital still images — not ownership of the images or any intellectual property in them. This is the same idea as buying a font license: you may use the files in the ways allowed below; you may not treat them as yours to copy, share, or resell.

By purchasing, downloading, installing, or using any Pack or Avatar (defined below), you accept this EULA. If you do not agree, do not purchase or use the Packs.

The CoolAgents website and store are also governed by our Terms of Service. If there is a conflict about how you may use Pack files and Avatars, this EULA controls.

1. Definitions

“Pack” means a CoolAgents digital style / CAST pack of still agent avatar images (and any related files we deliver with it).
“Avatar” means any still image, file, or asset in a Pack.
“Service” means the CoolAgents website, store, account, and related delivery tools.
“Personal Use” means use by you as a private individual for your own non-commercial agent roster and setups that you personally operate — not for an employer, client, agency, marketplace, or any third party, and not as part of a product or service you sell.

2. What you are buying

2.1 Payment for a Pack purchases a Personal Use license under this EULA. Title and all intellectual property rights in the Packs and Avatars remain with Okkio LTD and its licensors.

2.2 Pack contents (for example, about 20 still Avatars per pack) and pricing are as shown at checkout. Checkout and your order confirmation control the Pack(s) licensed to you.

2.3 Illustrative store pricing (may change; checkout controls): US$9.99 (1 Pack), US$19.99 (3 Packs), US$49.99 (10 Packs).

3. License grant — Personal Use only

3.1 Subject to full payment and this EULA, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

(a) download and store the Pack Avatars on devices you own or control; and
(b) assign and display those Avatars as profile / roster images for agents that you personally operate (for example, in Grok Bot, Cursor, or similar multi-agent UIs that allow custom still avatars).

3.2 Personal Use only. The Avatars and Packs are licensed for Personal Use only. You may not use them for business, client work, agency work, white-label setups, team seats beyond yourself, or any commercial offering unless we have sold you a separate written commercial license.

3.3 One purchaser. The license is for you alone. You may not share Pack files, download links, account access, or Avatars with anyone else so they can use them.

3.4 All rights not expressly granted are reserved.

4. Hard prohibitions (copy / reproduce / distribute)

You must not, and must not allow anyone else to:

4.1 Copy, reproduce, duplicate, clone, or redistribute Packs or Avatars except as needed for your own Personal Use under Section 3;

4.2 Share, publish, upload, post, host, or otherwise make Pack files or Avatars available to the public or to any third party (including public repos, Discord, marketplaces, torrents, open cloud folders, “free download” pages, or forwarding ZIPs);

4.3 Sell, resell, rent, lease, lend, gift for redistribution, sublicense, assign, or transfer Packs, Avatars, license keys, or download access;

4.4 Include Packs or Avatars in any product, template, kit, SaaS, theme, or download you distribute or sell;

4.5 Scrape, bulk-harvest, or build a library/dataset from Packs or Avatars;

4.6 Remove or alter copyright, trademark, or proprietary notices;

4.7 Modify Avatars to create a competing avatar pack or style set for distribution, or train AI/ML systems on Packs/Avatars to generate lookalike sets for distribution, without our prior written consent;

4.8 Use Packs or Avatars in any unlawful way, or in a way that suggests we endorse you or a third party.

These restrictions are essential terms. Breach is material and may end your license immediately.

5. What “Personal Use” allows (plain examples)

If you need commercial or team use, contact us before buying or using — Personal Use does not cover it.

6. Delivery, refunds, support

6.1 Packs are digital. Delivery occurs when we make download or in-account access available.

6.2 Sales are final once a Pack is delivered or accessed, except where mandatory law requires otherwise. If a file is defective or corrupted, contact us within 14 days of purchase and we will re-deliver or refund at our option.

6.3 We do not guarantee compatibility with every third-party agent product or future UI change.

7. Ownership and feedback

7.1 Okkio LTD and its licensors own all rights in CoolAgents, Packs, Avatars, names, and branding.

7.2 Feedback you send may be used by us without obligation to you.

8. Term and termination

8.1 This EULA starts when you purchase or first use a Pack and continues until terminated.

8.2 We may terminate immediately if you breach (especially Sections 3–4). You may stop use at any time; that does not create a refund right by itself.

8.3 On termination for breach, the license ends. You must stop using the Avatars and delete Pack files in your possession, except where law requires retention. Sections that should survive (IP, restrictions, disclaimers, liability limits, governing law) survive.

9. Disclaimer and limitation of liability

9.1 PACKS AND AVATARS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, data, or goodwill; (b) our total liability for any claim relating to a Pack will not exceed what you paid us for that Pack in the 12 months before the claim.

9.3 Nothing here limits liability that cannot be limited under applicable law.

10. Governing law

This EULA is governed by the laws of the State of Israel. Courts in Tel Aviv-Yafo have exclusive jurisdiction, subject to mandatory consumer rules that cannot be waived where you live.

11. General

11.1 This EULA plus your order confirmation and the Terms of Service (for the website) are the agreement for Pack licensing.
11.2 If a provision is unenforceable, the rest remains.
11.3 You may not assign this EULA; we may assign to an affiliate or successor.
11.4 English controls.
11.5 Non-waivable consumer rights remain.
